Important: By accessing or using any part of the Platform, you accept, without limitation or qualification, these Terms. If you do not agree with these Terms, you are prohibited from using any portion of the Platform.
These User Terms ("Terms") are a binding legal agreement between you and LoyalStash ("LOYALSTASH," "we," "us," or "our") that govern your use of the LoyalStash mobile application and related services (collectively, the "Platform").
Understanding these Terms is important because by using the LoyalStash Platform, you are agreeing to these Terms. These Terms include all operating policies referred to herein, including our Cookie Policy and Privacy Policy.
1. Definitions
In these Terms:
- "Platform" means the LoyalStash mobile application, website, and related services.
- "User" or "you" means an individual who uses the LoyalStash app to participate in loyalty programs.
- "Merchant" means a business that offers loyalty programs through the LoyalStash Platform.
- "Loyalty Card" means a digital loyalty program offered by a Merchant on the Platform.
- "Stamp" means a digital credit you collect when you scan a Merchant's QR code after a qualifying transaction.
- "Reward" means a benefit offered by a Merchant when you collect the required number of Stamps on a Loyalty Card.
- "QR Code" means the unique quick response code displayed at a Merchant's location that you scan to collect Stamps.
2. Eligibility and Account
2.1 Eligibility Requirements
To use the Platform, you must:
- Be at least 13 years of age (or the minimum age required in your jurisdiction)
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Platform under applicable law
2.2 Account Registration
To use the Platform, you must create a LoyalStash account. You can register using your email address or through a supported third-party service (Google, Apple, or Facebook). When you register, you agree to:
- Provide accurate, current, and complete information
- Keep your account information up to date
- Accept our Privacy Policy
2.3 Account Security
Your LoyalStash account is where you manage your relationship with us and participate in Merchant loyalty programs. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately if you suspect unauthorized access to your account
2.4 One Account Per Person
Each person may only maintain one LoyalStash account. You acknowledge and agree that you have not created other LoyalStash accounts that have been suspended or terminated by us for violations of our terms, policies, or applicable laws. Creating multiple accounts to abuse loyalty programs is strictly prohibited.
3. How LoyalStash Works
LoyalStash provides a simple way for you to participate in loyalty programs at your favorite local businesses. Here's how it works:
Collecting Stamps in 4 Easy Steps:
- Discover: Browse Merchants with available Loyalty Cards in the app. A list based on your location can only be displayed if you allow the app to use location services.
- Add: Add Loyalty Cards from Merchants you want to support to your collection.
- Scan: After making a purchase at a participating Merchant, scan their QR code displayed at their location.
- Collect: Receive Stamps on your Loyalty Card. Once you've collected enough Stamps, you can redeem your Reward!
4. Collecting Stamps
4.1 How Stamps Are Earned
Stamps are collected by scanning a Merchant's QR code after making a qualifying purchase. Each Merchant determines:
- The criteria for earning Stamps (e.g., per purchase, per visit, per dollar spent)
- The number of Stamps required to earn a Reward
- Any restrictions or conditions on Stamp collection
4.2 Stamp Collection Rules
- You must make a genuine purchase to earn Stamps. Scanning QR codes without a valid purchase is prohibited.
- Stamps can only be collected during a Merchant's operating hours.
- Some Merchants may limit the frequency of Stamp collection (e.g., one Stamp per day).
- Stamps are personal to your account and cannot be transferred to another person.
4.3 Stamp Validity and Expiration
Stamps may expire as determined by each Merchant. The expiration policy (if any) is displayed on each Loyalty Card. We will send you notifications when your Stamps are about to expire, where possible.
4.4 No Cash Value
Stamps have no monetary or cash value. They cannot be sold, exchanged, or converted to cash under any circumstances.
5. Redeeming Rewards
5.1 How Rewards Work
When you collect the required number of Stamps on a Loyalty Card, you earn a Reward. Each Merchant determines:
- The specific Reward offered (e.g., free item, discount, special offer)
- Any restrictions or conditions on Reward redemption
- The Reward validity period
5.2 Redeeming Your Reward
To redeem a Reward:
- Visit the Merchant where you earned the Reward
- Open the LoyalStash app and select your earned Reward
- Show the Reward redemption screen to the Merchant staff
- Confirm the redemption when prompted
Once a Reward is redeemed, it cannot be reversed or restored.
5.3 Reward Validity
Rewards may have an expiration date set by the Merchant. Additionally:
- If a Merchant deactivates their Loyalty Card, you have 90 days to redeem any earned Rewards.
- If a Merchant closes permanently, Rewards may no longer be redeemable.
- We will notify you when your Rewards are about to expire, where possible.
5.4 Merchant Responsibility
The Merchant is solely responsible for providing the Reward as advertised. LoyalStash is not responsible if a Merchant fails to honor a Reward.
6. Your Obligations
When using the Platform, you agree to:
6.1 General Conduct
- Use the Platform only for its intended purpose
- Comply with all applicable laws and regulations
- Treat Merchants and their staff with respect
- Only collect Stamps for genuine purchases you have made
6.2 Prohibited Activities
You agree NOT to:
- Collect Stamps fraudulently or without making a valid purchase
- Create multiple accounts to exploit loyalty programs
- Share your account credentials with others
- Use automated systems, bots, or software to interact with the Platform
- Attempt to reverse engineer, decompile, or hack the Platform
- Interfere with or disrupt the Platform or its servers
- Impersonate another person or entity
- Use the Platform for any illegal purpose
- Harass, abuse, or threaten Merchants, their staff, or other Users
6.3 Consequences of Violations
Violation of these obligations may result in warning, suspension, or permanent termination of your account, and forfeiture of any accumulated Stamps or Rewards.
7. Relationship with Merchants
7.1 Independent Businesses
Merchants are independent businesses that use LoyalStash to offer loyalty programs. LoyalStash is not a party to any transaction between you and a Merchant. We do not:
- Sell products or services offered by Merchants
- Guarantee the quality, safety, or legality of Merchant products or services
- Control Merchant pricing, hours, or availability
- Employ or supervise Merchant staff
7.2 Disputes with Merchants
Any disputes regarding products, services, or Reward fulfillment should be resolved directly with the Merchant. While we may assist in facilitating communication, we are not responsible for resolving disputes between you and Merchants.
7.3 Merchant Changes
Merchants may modify their loyalty programs, change their Rewards, or discontinue their use of LoyalStash at any time. We will make reasonable efforts to notify you of significant changes that affect your accumulated Stamps or Rewards.
8. Intellectual Property
8.1 LoyalStash Property
The Platform, including its software, design, logos, trademarks, and content, is owned by LoyalStash and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial purposes.
8.2 Restrictions
You may not:
- Copy, modify, or create derivative works of the Platform
- Distribute, license, or sell any part of the Platform
- Use our trademarks or branding without written permission
- Remove any copyright or proprietary notices
9. Disclaimers
9.1 THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9.3 WE ARE NOT RESPONSIBLE FOR THE PRODUCTS, SERVICES, QUALITY, OR CONDUCT OF MERCHANTS. MERCHANTS ARE INDEPENDENT BUSINESSES, AND WE DO NOT ENDORSE OR GUARANTEE THEIR OFFERINGS.
9.4 WE DO NOT GUARANTEE THAT REWARDS WILL BE AVAILABLE OR HONORED BY MERCHANTS. MERCHANTS ARE SOLELY RESPONSIBLE FOR FULFILLING THEIR REWARDS.
10. Limitation of Liability
10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOYALSTASH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
10.2 OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US (IF ANY) IN THE 12 MONTHS PRIOR TO THE CLAIM.
10.3 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Termination
11.1 Termination by You
You may delete your account at any time through the app settings or by contacting us. Upon deletion:
- Your account data will be deleted in accordance with our Privacy Policy
- Any unredeemed Stamps or Rewards will be forfeited
- You will no longer have access to the Platform
11.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms or any of our policies
- You engage in fraudulent or abusive behavior
- You have been inactive for an extended period (typically 24 months)
- We are required to do so by law
- We believe your actions may cause legal liability for us, other Users, or Merchants
11.3 Effect of Termination
Upon termination, you will lose access to your account and any unredeemed Stamps or Rewards. Sections of these Terms that by their nature should survive termination will remain in effect, including Sections 8, 9, 10, and 12.
12. Dispute Resolution
12.1 Informal Resolution
If you have a dispute with us, we encourage you to contact us first at contact@loyalstash.com to seek an informal resolution. Most disputes can be resolved quickly through informal discussion.
12.2 Governing Law
These Terms are governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law principles.
12.3 Jurisdiction
Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of New Zealand.
12.4 Consumer Rights
Nothing in these Terms limits or excludes any rights you may have under applicable consumer protection laws in your jurisdiction.
13. Changes to Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will:
- Post the updated Terms on our website and in the app
- Notify you through the app or by email
- Update the "Effective date" at the top of these Terms
Your continued use of the Platform after the updated Terms take effect constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you should stop using the Platform and delete your account.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and LoyalStash regarding your use of the Platform.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
14.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
