Merchant Terms & Conditions

For Businesses Using LoyalStash Services

Important: By creating a merchant account or using LoyalStash's merchant services, you agree to be bound by these Terms. These Terms form a binding agreement between your business and LoyalStash.

These Merchant Terms ("Terms") are a binding legal agreement between your business and LoyalStash ("LOYALSTASH," "we," "us," or "our") that govern your use of the LoyalStash merchant dashboard, mobile app, and related services (collectively, the "Platform").

These Terms work together with our Privacy Policy and Data Processing Agreement to form the complete agreement between you and LoyalStash.

1. Definitions

  • "Merchant" or "you" means the business entity registering for LoyalStash services
  • "LoyalStash", "we", or "us" means LoyalStash and its affiliates
  • "Platform" means the LoyalStash merchant web portal, mobile app, and related services
  • "Customer" means an end user of the LoyalStash customer app
  • "Loyalty Card" means a digital loyalty program you create on the Platform
  • "Customer Data" means personal information of Customers collected through the Platform

2. Services

LoyalStash provides you with:

  • A merchant dashboard to create and manage loyalty programs
  • QR codes for customers to scan and collect stamps
  • Analytics and reporting on customer engagement
  • Employee management and access controls
  • Mobile app for on-the-go management (LoyalStash Merchant)
  • Visibility in the LoyalStash customer app

We may modify, suspend, or discontinue features with reasonable notice. We will provide at least 30 days notice for material changes.

3. Merchant Account

3.1 Registration

To use our services, you must register a merchant account and provide accurate information about your business, including business name, address, and contact details.

3.2 Eligibility

You represent that you are authorized to bind your business to these Terms and that your use of the Platform complies with applicable laws.

3.3 Account Security

You are responsible for maintaining the security of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access.

4. Loyalty Cards & Programs

4.1 Creating Loyalty Cards

You may create loyalty cards with rules you define (e.g., stamps required, rewards offered). You are solely responsible for honoring the rewards you promise to Customers.

4.2 Modifying Programs

You may modify your loyalty programs at any time. Changes apply prospectively and do not affect stamps or rewards already earned by Customers.

4.3 Deactivating Cards

When you deactivate a loyalty card:

  • Customers can no longer collect new stamps
  • Customers have 90 days to redeem earned rewards
  • After 90 days, the card becomes fully inactive

4.4 Reward Fulfillment

You are solely responsible for fulfilling rewards. LoyalStash is not responsible if you fail to provide promised rewards to Customers.

5. Customer Data

Important: This section covers data protection responsibilities. You must also sign our Data Processing Agreement to comply with GDPR and other data protection laws.

5.1 Data Ownership

  • LoyalStash is the data controller for Customer account data
  • You receive access to aggregated analytics and transaction-level data for your loyalty programs
  • Customer personal information (name, email) is only shared when required for reward fulfillment or with Customer consent

5.2 Your Obligations

You agree to:

  • Use Customer data only for purposes related to your loyalty program
  • Comply with all applicable data protection laws (GDPR, CCPA, etc.)
  • Not sell, share, or misuse Customer data
  • Implement appropriate security measures
  • Notify us immediately of any data breaches

5.3 Data Subject Requests

If you receive a request from a Customer regarding their data (access, deletion, etc.), you must forward it to us at contact@loyalstash.com within 48 hours.

6. Employee Access

You may invite employees to access your merchant account with different permission levels:

  • Manager: Full access to all features
  • Staff: Limited access (view dashboard, process transactions)

You are responsible for the actions of your employees on the Platform and for removing access when employees leave your organization.

7. Fees & Payment

7.1 Current Pricing

LoyalStash is currently free for merchants. We may introduce paid features or subscription plans in the future.

7.2 Future Changes

If we introduce fees, we will provide at least 60 days notice. You may choose to discontinue using the Platform if you do not agree to the new pricing.

8. Your Obligations

You agree to:

  • Provide accurate and up-to-date business information
  • Display your QR code prominently for customers
  • Honor all rewards as advertised
  • Treat customers fairly and professionally
  • Comply with all applicable laws and regulations
  • Not use the Platform for any illegal purposes
  • Not manipulate or game the loyalty system
  • Not interfere with the Platform's operation

9. Intellectual Property

9.1 LoyalStash IP

The Platform, including its software, design, and branding, is owned by LoyalStash. You receive a limited license to use the Platform for your business purposes.

9.2 Your Content

You retain ownership of your business content (logo, descriptions, images). By uploading content, you grant us a license to display it on the Platform and in the customer app.

9.3 QR Codes

We grant you a license to use the QR codes we generate for your loyalty programs. QR codes remain our property and must not be modified or used outside the Platform.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WE DO NOT GUARANTEE ANY SPECIFIC BUSINESS RESULTS FROM USING THE PLATFORM. CUSTOMER ENGAGEMENT AND LOYALTY PROGRAM SUCCESS DEPEND ON MANY FACTORS OUTSIDE OUR CONTROL.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOYALSTASH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) $1,000 NZD.

12. Indemnification

You agree to indemnify and hold harmless LoyalStash from any claims, damages, or expenses arising from: (a) your use of the Platform, (b) your breach of these Terms, (c) your violation of any law, (d) your failure to fulfill rewards, or (e) any dispute between you and a Customer.

13. Termination

13.1 By You

You may terminate your account at any time by contacting us. You should deactivate all loyalty cards first to give Customers time to redeem rewards.

13.2 By Us

We may suspend or terminate your account if you violate these Terms, fail to honor rewards, engage in fraudulent activity, or if required by law. We will provide notice except in cases of serious violations.

13.3 Effect of Termination

Upon termination, your loyalty cards will be deactivated. Customers will have 90 days to redeem earned rewards. You must fulfill any outstanding rewards.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of New Zealand. Disputes shall be subject to the exclusive jurisdiction of New Zealand courts.

14.2 Entire Agreement

These Terms, together with our Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and LoyalStash.

14.3 Changes to Terms

We may update these Terms with 30 days notice for material changes. Continued use after changes take effect constitutes acceptance.
